1. Introduction

Welcome to WoowPeak (“WoowPeak,” “the Platform,” “we,” “us,” or “our”). These Terms and Conditions of Use (“Terms”) govern your access to and use of our website at woowpeak.com and related services. By using the Platform, you confirm you have read, understood, and agreed to these Terms and our Privacy Policy.

2. Definitions

  • Content: Any audio, video, text, images, data, or other material uploaded or made available on the Platform by a User.
  • User / You: Any person accessing or using the Platform, including Guests, Registered Users, Creators, Organizers, Sellers, or Stakeholders.
  • Stakeholders: Parties with a royalty or revenue claim from Content.
  • Gross Revenue: Total revenue generated from Content before deductions.
  • Mandatory Deductions: Fees or charges deducted from Gross Revenue.
  • Net Distributable Revenue: Gross Revenue less Mandatory Deductions and fees available for distribution to Stakeholders.
  • Wallet: The internal account balance maintained by WoowPeak for each Registered User.
  • Next of Kin: The designated beneficiary entitled to manage or receive Wallet funds upon death or incapacity.

3. Acceptance, Eligibility, and Changes

  1. Acceptance – By using the Platform, you agree to these Terms.
  2. Eligibility – Users must be at least 13 years old. Minors under 18 require direct supervision by a parent/guardian.
  3. Changes – We may update these Terms. Continued use indicates acceptance.

4. Registration, Accounts, and Security

  1. Registration – Provide accurate, complete information.
  2. Responsibility – You are responsible for account security.
  3. False Information – Fake identities or impersonation are prohibited.
  4. Termination – We may suspend or terminate accounts for violations.

5. Intellectual Property and Content Licenses

  1. Ownership – You retain ownership of your Content.
  2. License – By uploading, you grant WoowPeak a license to use it for operations.
  3. Warranty – You confirm you have necessary rights.
  4. Standards – Unlawful, hateful, or infringing content is prohibited.

6. Financial Terms, Wallets, and Payouts

  1. Revenue Share – 60% of Gross Revenue is Net Distributable Revenue unless agreed otherwise.
  2. Royalty Splits – Users allocate splits digitally.
  3. Wallets – Funds are held and may be transferred subject to verification.
  4. Security – MFA required.
  5. Payout Timing – Processed within 72 hours of valid request.
  6. Taxes – Users are responsible for taxes.
  7. Refunds – All sales are final except where law requires.

7. AML, Compliance, and Identity Verification

  1. KYC/AML checks required for financial activity.
  2. Prohibited: money laundering, terrorism financing, sanctions evasion.
  3. Users must not be under embargo/restricted lists.

8. Specific Service Terms

  • Organizers are responsible for events/ticketing.
  • Subscriptions/fan funding renew until canceled.
  • Sellers are responsible for product compliance.
  • Live streaming prohibits hate speech, harassment, exploitation.

9. User Conduct and Community Guidelines

  • Illegal or infringing activity
  • Harassment or hate speech
  • Malware, spam, phishing
  • Circumventing security/royalty systems
  • Impersonation or fraudulent accounts

10. DMCA & Takedown Procedures

11. Privacy, Data Protection, and Communications

  • Governed by our Privacy Policy.
  • You consent to communication by email, WhatsApp, SMS, phone.
  • Ads may be shown unless on Ad-Free tier.

12. Disclaimers and Limitations

  1. Platform is provided “as is.”
  2. Liability limited to 6-month fees or $100.

13. Indemnification

You indemnify WoowPeak against claims from your content, conduct, or breach of Terms.

14. Dispute Resolution

  1. Contact legal@woowpeak.com first.
  2. Governing law: Uganda.
  3. Disputes resolved by binding arbitration (no provider/location specified).
  4. No class actions.

15. Termination and Survival

We may terminate for violations. Certain obligations survive termination.

16. Miscellaneous

  • Entire agreement includes these Terms + policies.
  • Invalid clauses don’t affect rest.
  • Users cannot assign rights; WoowPeak may.
  • No liability for force majeure events.
  • Not responsible for third-party sites.
